Navbase Terms of Use

1. Acceptance of the Terms of Use

These Navbase Terms of Use apply to your access and use of the Navbase App, Navbase Website, and access to and use of the webpages, platform, services or content therein or provided thereby (collectively, the "Services") provided by Navbase (including its affiliates, hereinafter together referred to as "Navbase," "us", or "we").

By using the Services, logging in to the Services, publishing User Content, and/or clicking on a button on the Services indicating your consent, you hereby agree to (1) these Navbase Terms of Use, (2) our Community Policy and Content Guidelines, and (3) the Revenue Sharing Program Terms of Service, which are all incorporated herein by reference (collectively the "Agreement"), and you acknowledge that you have read and understand our Privacy Policy. The Agreement constitutes the entire agreement by and between Navbase and you. If you do not want to agree to the Agreement, you may not access or use the Services.

If you are using the Services on behalf of another person or entity, you represent that you have the authority to bind that person or entity to the Agreement, and the words "you" or "your" in the Agreement includes such other person or entity.

2. Changes to the Terms of Use

Navbase may make changes to the Agreement from time to time by publishing amended versions on the Navbase Website and/or the Navbase App. We will attempt to provide you with notice of any changes to the Agreement that materially affect your rights by notifying you via email, offering a notification within the Navbase Website or Navbase App, or by updating the date at the top of the Agreement. You should also periodically review the most up-to-date version of the Agreement on the Navbase Website and/or Navbase App. All modifications to the Agreement that we post on the Services will be effective immediately upon posting, and your continued use of the Services after we post changes to the Agreement will confirm your acceptance of the changes. If you do not agree to the modified Agreement, you must stop using the Services.

3. Definitions

a) "Coin(s)" refers to the virtual currency that may be purchased and/or earned by you to access certain travel content offered by the Services.

b) "Creator Profiles" refers to the Services that allow you to customize your user profile page and make some or all of it public to other users of the Services for feedback and interaction.

c) "Travel Content" means roadbooks, travel guides, route maps, digital travel publications, GPS tracks, points of interest, travel itineraries, and other digital content including photos, videos, and interactive elements provided on the Service.

d) "Navbase Website" means web.navbase.app

e) "Navbase App" means, collectively, Navbase's travel content platform, mobile applications, websites and/or software (including any updates/upgrades to that software) through which you can: (i) browse, shop for, download and/or access, view and/or otherwise use Travel Content or other items offered by us for use on one (1) or more select devices (e.g., smartphones, tablets, PC/Mac, et al.); and (ii) manage your Travel Content and account settings.

f) "User Content" means content, including text, data, photographs, graphics, images, information, roadbooks, travel guides, routes, and any combination of these elements which you and other users may submit to the Services, including through comments and other features like Creator Profiles.

4. Ownership and License of Travel Content and User Content

a) Ownership of Travel Content. You understand and agree that the Services (including the Navbase Website and Navbase App) are owned by Navbase. The Travel Content made available on the Service is owned by Navbase or licensed by the applicable copyright owner to Navbase. The Navbase Website, Navbase App, Travel Content, software, visual interfaces, interactive elements, features, information, graphics, design, compilation, computer code, products, look and feel, and all other elements of the Service, are protected by intellectual property laws. Navbase does not transfer any title, right or interest to or in the Services and/or Travel Content to you.

b) License of Travel Content to You. Upon your download and/or use of Travel Content, Navbase grants you a limited, non-exclusive and non-transferable, non-sublicensable, revocable license to access, view, download (for a limited time), and use such Travel Content, solely for your personal, non-commercial use consistent with the terms of the Agreement. The license does not confer on you any ownership interest in such Travel Content. Within the Navbase Website and Navbase App, you may access, view or use Travel Content and/or within the Navbase App, you may download Travel Content onto only one device which will be maintained for up to thirty (30) days and such Travel Content may be automatically deleted from your device after thirty (30) days. Travel Content is licensed to you by Navbase; Travel Content is not sold, transferred, or assigned to you.

5. Navbase Website and Navbase App

a) Use of Navbase Website and Navbase App. You may use the Service, including the software comprising them, solely on the number and type(s) (if so limited) of devices for which we permitted you to download. You may not (i) separate any individual component of such software for use on another device or computer; (ii) transfer it for use on another device or computer or use it, or any portion of it, over a network, or (iii) sell, rent, lease, lend, distribute, or sublicense or otherwise assign any rights to such software in whole or in part.

b) Account Creation. You may need to register for an account to access some or all of the Services. You are responsible for keeping your account information current, for taking reasonable steps to maintain the confidentiality of your username and password, and for all activities occurring under your account.

6. Conditions of Use

a) Minimum Age. To use the Services, you must be at least thirteen (13) years old (or the minimum permissible age under the applicable law of your jurisdiction, if higher). If you are between 13 and 18, you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by the Agreement.

b) Acceptable Use. You may not access or use, or attempt to access or use, the Services to take any action that could harm Navbase, its affiliates, service providers, licensors, or any other third party, interfere with the operation of the Services, or use the Services in a manner that violates any laws.

7. Privacy

Navbase respects your privacy and has established certain policies and procedures relating to the collection and use of your personal information in connection with your use of the Services. Our Privacy Policy is available on the Navbase Website and/or the Navbase App and applies to your use of the Services.

8. User Content; Feedback

a) License of User Content to Navbase. For any User Content posted or submitted through the Services, you grant us a nonexclusive, perpetual, irrevocable, royalty-free, worldwide, transferable, sublicensable license to access, use, host, cache, store, reproduce, transmit, modify, create derivative works of, perform, display, publish, distribute, and otherwise exploit your User Content for purposes of maintaining and improving our Services, and promoting the same.

9. Purchasing and Redeeming Coins

Some aspects of our Service may include travel content that require the redemption of Coins. You may access such content by "purchasing" and/or "earning" Coins. You do not own the Coins regardless of whether you have "purchased" and/or "earned" them. Coins do not constitute a personal property right under any law. Furthermore, Coins do not hold, and are not redeemable for, any "real world" monetary value. You are granted a limited, non-transferable, revocable, non-exclusive license for the personal use of the Coins solely to access certain travel content related to the Services.

a) Coins will be provided to you by the means specified by Navbase such as purchases, special offers, and the like. Details regarding the payment methods, units, and all other conditions regarding Coins will be decided by Navbase and displayed accordingly on the Services.

b) Coins cannot be exchanged or be used for any other purpose other than to access certain travel content offered by the Services. Navbase reserves the right to change the purchase price for the Coins at any time, and the number of Coins required for accessing the content may be changed by Navbase from time to time.

c) The purchase value of Coins associated with your account may not exceed $2,000 (or the equivalent in the local currency) at any given time.

d) Your Coin purchases in total across any and all accounts you hold may not exceed $10,000 (or the equivalent in the local currency) per day.

h) You agree that all Coin sales by Navbase to you are final and will not be refunded for any reason unless required by applicable laws or unless we elect, in our sole discretion, to rescind your purchase of Coins.

10. Fees

You may be required to pay fees to Navbase in order to purchase Coins or otherwise use certain functionality of the Services ("Service Fees"). You are responsible for paying any applicable Service Fees listed on the Services at the time of purchase.

11. Termination and Suspension

You may stop using our Services at any time. We reserve the right to, at any time with or without notice: (i) modify, suspend or terminate operation of or access to the Services or Travel Content, in whole or in part for any or no reason; and (ii) interrupt the operation of the Service, in whole or in part as necessary to perform routine or non-routine maintenance, error correction or other changes.

12. Disclaimer of Warranties

USE OF THE SERVICES AND/OR TRAVEL CONTENT IS AT YOUR SOLE RISK. THE SERVICES AND/OR TRAVEL CONTENT ARE PROVIDED "AS IS" WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. NAVBASE AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, SATISFACTORY QUALITY, NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT NOT PROHIBITED BY LAW, NAVBASE AND ITS LICENSORS AND AFFILIATES WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR FOR BREACH OF ANY EXPRESS OR IMPLIED WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY, TORT, OR ANY OTHER LEGAL THEORY RELATED TO THE NAVBASE WEBSITE, NAVBASE APP, USER CONTENT, TRAVEL CONTENT, OR ANY OTHER COMPONENT OF THE SERVICES.

14. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Navbase, its affiliates, and their respective officers, directors, agents, partners, and employees from and against any losses, liabilities, claims, causes of action, demands, and expenses arising out of or relating to your use of the Service and Travel Content, your User Content, your violation of the Agreement, or your violation of any applicable law or regulation.

15. Governing Law; Disputes

The Agreement shall be interpreted in accordance with applicable laws. Any legal disputes will be resolved according to the jurisdiction where Navbase operates.

16. Complete Agreement and Severability

The Agreement is the entire agreement between you and Navbase regarding the Services and/or Travel Content, and supersedes all prior understandings regarding such subject matter. If any term or condition of the Agreement is deemed invalid, void, or for any reason unenforceable, that part will be deemed severable and will not affect the validity and enforceability of any remaining term or condition.
